पैन, केवाईसी विवरण और नामांकन को अपडेट करें
सेबी सर्कुलर SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2023/37 दिनांक 16 मार्च, 2023 के अनुसार, भौतिक मोड में कंपनी की प्रतिभूति रखने वाले सभी शेयरधारकों के लिए पैन, तक केवाईसी विवरण और नामांकन 30 सितंबर, 2023 अपडेट करना अनिवार्य कर दिया गया है। इस तरह के विवरण प्राप्त न होने और आवश्यकता(ओं) का अनुपालन न करने की स्थिति में, फोलियो में संबंधित प्रतिभूतियों को फ्रीज कर दिया जाएगा।
इसलिए, भौतिक मोड में कंपनी की प्रतिभूति रखने वाले सभी शेयरधारकों से अनुरोध है कि वे 30 सितंबर, 2023 तक पैन (आधार से जुड़ा हुआ), केवाईसी विवरण और नामांकन आरटीए के साथ प्रस्तुत करें।
वेदांता लिमिटेड की प्रस्तावित डीलिस्टिंग पर अक्सर पूछे जाने वाले प्रश्न
महत्वपूर्ण शब्द:
सार्वजनिक शेयरधारक: इक्विटी शेयरों के धारक, जिनमें निम्नलिखित शामिल नही है:
1. प्रमोटर, प्रमोटर ग्रुप और उनके साथ मिलकर काम करने वाले व्यक्ति; तथा
2. कस्टोडियन के पास धारित इक्विटी शेयरों की बजाय विदेशों में जारी डिपॉजिटरी रसीदों के धारक (यानी, कंपनी द्वारा जारी अमेरिकी डिपॉजिटरी शेयर ("एडीएस")) और ऐसे कस्टोडियन जिनके पास इक्विटी शेयर हैं।
ऑफर / प्रस्ताव: स्टॉक से इक्विटी शेयरों की प्रस्तावित वोलन्टरी डीलिस्टिंग डीलिस्टिंग विनियमों के अनुसार एक्सचेंज।
डीलिस्टिंग के विनियम:सेबी (इक्विटी शेयरों की डीलिस्टिंग करना) विनियम, 2009, यथा संशोधित।
इक्विटी शेयर:कंपनी के पूर्ण प्रदत्त इक्विटी शेयर।
प्रमोटर / अधिग्रहणकर्ता: वेदांता रिसोर्सेज लिमिटेड ("वीआरएल") और/या इसकी सब्सिडियरीज़।
सेबी: भारतीय प्रतिभूति एवं विनिमय बोर्ड
स्टॉक एक्सचेंज: मान्यता प्राप्त स्टॉक एक्सचेंज जहां इक्विटी शेयर वर्तमान में सूचीबद्ध हैं, जिनमें बीएसई लिमिटेड ("बीएसई") और नेशनल स्टॉक एक्सचेंज ऑफ इंडिया लिमिटेड ("एनएसई") प्रमुख हैं।
लक्ष्य/कंपनी: वेदांता लिमिटेड ("वीईडीएल")।
अगला कदम:
शेयरधारकों का अनुमोदन: कंपनी ने पोस्टल बैलेट और ई-वोटिंग के माध्यम से विशेष रिज़ॉल्यूशन का तरीका अपनाकर डिलिस्टिंग ऑफर के लिए शेयरधारकों का अनुमोदन लेने हेतु 25 मई, 2020 को पोस्टल बैलेट नोटिस भेजा है। आगे की कार्रवाई केवल तभी की जा सकती है जब इसे सार्वजनिक शेयरधारकों के 2:1 बहुमत का अनुमोदन मिल जाए। यह डीलिस्टिंग ऑफ़र के साथ आगे बढ़ने की स्वीकृति है और अंतिम निकास ऑफर मूल्य पर निर्णय नहीं है।
सैद्धांतिक रूप से अनुमोदन: शेयरधारकों के अनुमोदन के बाद, कंपनी को सैद्धांतिक अनुमोदन के लिए स्टॉक एक्सचेंजों में आवेदन करना होगा।
सार्वजनिक घोषणा और प्रस्ताव पत्र का प्रेषण: सैद्धांतिक अनुमोदन के बाद, प्रमोटर सार्वजनिक शेयरधारकों को बोली फॉर्म के साथ एक सार्वजनिक घोषणा ("पीए") और प्रस्ताव पत्र (डीलिस्टिंग ऑफर के संबंध में महत्त्वपूर्ण जानकारी युक्त) ("एलओएफ") भेजेगा।
बोली लगाने की अवधि: बोली अवधि (5 कार्य दिवसों के लिए खुलेगी) पीए के उन सात कार्य दिवसों के भीतर शुरू की जाएगी, जिसके दौरान सार्वजनिक शेयरधारक अपनी बोलियां प्रस्तुत कर सकते हैं। अंतिम निकास प्रस्ताव मूल्य उस मूल्य के रूप में निर्धारित किया जाएगा जिस पर योग्य बोलियों के माध्यम से इक्विटी शेयरों को स्वीकार किया जाता है, जिससे प्रमोटर की शेयरधारिता (साथ में काम करने वाले व्यक्तियों के साथ) को कंपनी की चुकता इक्विटी शेयर पूंजी के कम से कम 90% तक ले जाता है। कंपनी, इक्विटी शेयरों को छोड़कर, जो तब एक संरक्षक के पास होते हैं और जिसके खिलाफ एडीएस जारी किए गए हैं।अंतिम निकास प्रस्ताव को स्वीकार/अस्वीकार करने का विकल्प: अंतिम निकास प्रस्ताव मूल्य का पता लगने पर, प्रमोटर के पास अंतिम निकास प्रस्ताव मूल्य को स्वीकार या अस्वीकार करने का विकल्प होगा। यदि, अंतिम निकास प्रस्ताव मूल्य प्रमोटर को स्वीकार्य नहीं है, तो उसके पास अंतिम निकास प्रस्ताव मूल्य के प्रति दो कार्य दिवसों के भीतर काउंटर ऑफ़र करने का विकल्प होगा।
पोस्ट ऑफर की घोषणा :बोली अवधि समाप्त होने के पांच कार्य दिवसों के भीतर, प्रमोटर को निम्नलिखित के संबंध में एक पोस्ट ऑफर पीए देना होगा: (ए) अंतिम निकास ऑफ़र मूल्य के साथ-साथ डीलिस्टिंग ऑफ़र की सफलता; या (बी) डीलिस्टिंग ऑफ़र की विफलता।
प्रतिफल का भुगतान: यदि डीलिस्टिंग ऑफ़र सफल होता है, तो प्रमोटर को बोली अवधि की समाप्ति के बाद 10 कार्य दिवसों के भीतर सार्वजनिक शेयरधारकों को प्रतिफल का भुगतान करना होगा।
अंतिम आवेदन: प्रतिफल भुगतान के बाद, कंपनी स्टॉक एक्सचेंजों को अंतिम आवेदन भेजेगी। उनका अनुमोदन मिलने पर, इक्विटी शेयरों को डीलिस्ट कर दिया जाएगा।
शेष सार्वजनिक शेयरधारकों का अधिकार:शेष सार्वजनिक शेयरधारक अपने इक्विटी शेयरों का प्रमोटर को डीलिस्टिंग की तिथि से एक वर्ष की अवधि तक प्रस्ताव दे सकते हैं और ऐसे मामले में, प्रमोटर अंतिम निकास प्रस्ताव मूल्य पर इक्विटी शेयरों को स्वीकार करेगा।
मूल्य निर्धारण और प्रभाव
1. डीलिस्टिंग के लिए अंतिम ऑफ़र मूल्य कैसे निर्धारित किया जाएगा?
डीलिस्टिंग के लिए फ्लोर प्राइस की गणना डीलिस्टिंग रेगुलेशन के अनुसार की जाती है और पब्लिक शेयरधारकों के लिए रिवर्स बुक बिल्डिंग प्रक्रिया के दौरान फ्लोर प्राइस पर या उससे ऊपर की कीमत पर बोली लगाना जरूरी होता है। इसलिए, फ्लोर प्राइस वह न्यूनतम मूल्य है जो सार्वजनिक शेयरधारकों को ऑफर किया जाना आवश्यक है। डीलिस्टिंग ऑफर के लिए डीलिस्टिंग विनियमों के अनुसार निर्धारित किया गया न्यूनतम मूल्य, ₹87.25 है। इसे प्राइस वाटरहाउस एंड कंपनी एलएलपी द्वारा 18 मई, 2020 को जारी इसके प्रमाण पत्र के अनुसार प्रमाणित किया गया है।
प्रमोटर ने 12 मई, 2020 को जारी अपने पत्र में एक सांकेतिक प्रस्ताव मूल्य ("आईओपी") का संचार किया है, जिसमें उसने सार्वजनिक शेयरधारकों द्वारा ₹87.50 के आईओपी पर दिए गए इक्विटी शेयरों को स्वीकार करने की इच्छा व्यक्त की है।
डीलिस्टिंग ऑफ़र के लिए न तो आईओपी और न ही फ्लोर मूल्य अंतिम निकास ऑफ़र मूल्य है। अंतिम निकास प्रस्ताव मूल्य का निर्धारण डीलिस्टिंग विनियमों में निर्धारित रिवर्स बुक बिल्डिंग प्रक्रिया के अनुसार किया जाता है। यह बोली अवधि के दौरान सार्वजनिक शेयरधारकों द्वारा लगाई गई बोली के आधार पर तय किया जाएगा। अंतिम निकास प्रस्ताव मूल्य उस मूल्य के रूप में निर्धारित किया जाएगा जिस पर योग्य बोलियों के माध्यम से इक्विटी शेयरों को स्वीकार किया जाता है, जिससे प्रमोटर की शेयरधारिता (साथ में काम करने वाले व्यक्तियों के साथ) को कंपनी की चुकता इक्विटी शेयर पूंजी के कम से कम 90% तक ले जाता है। कंपनी, इक्विटी शेयरों को छोड़कर, जो तब एक संरक्षक के पास होते हैं और जिसके खिलाफ एडीएस जारी किए गए हैं। प्रमोटर के पास रिवर्स बुक बिल्डिंग प्रक्रिया के अनुसार निर्धारित किये गए अंतिम निकास प्रस्ताव मूल्य को स्वीकार या अस्वीकार करने का अधिकार होगा। यदि अंतिम निकास प्रस्ताव मूल्य स्वीकार कर लिया जाता है, तो, प्रमोटर उन सभी इक्विटी शेयरों को स्वीकार करेगा, जहां संबंधित बोली अंतिम निकास प्रस्ताव मूल्य पर या अंतिम निकास प्रस्ताव मूल्य से कम कीमत पर रखी गई है।
यदि प्रमोटर द्वारा अंतिम निकास प्रस्ताव मूल्य स्वीकार नहीं किया जाता है, तो उसके पास डीलिस्टिंग विनियमों के अनुसार एक काउंटर ऑफ़र करने का विकल्प होता है। काउंटर ऑफर करने के विकल्प के संबंध में कृपया अक्सर पूछे जाने वाले प्रश्न संख्या 11 भी देखें।
2. फ्लोर मूल्य की गणना के लिए संदर्भ तिथि क्या है?
डीलिस्टिंग विनियमों के प्रावधानों के अनुसार फ्लोर मूल्य की गणना के लिए संदर्भ तिथि 12 मई, 2020 है।
3. क्या होगा यदि मेरा बोली मूल्य अंतिम निकास प्रस्ताव मूल्य से अधिक है?
ऐसे मामलों में जहां बोलियां स्वीकार नहीं की गई हैं, सार्वजनिक शेयरधारकों द्वारा रिवर्स बुक बिल्डिंग प्रक्रिया के दौरान प्रस्तुत किए गए इक्विटी शेयरों को बोली अवधि की समाप्ति से दस कार्य दिवसों के भीतर वापस या रीलीज कर दिया जाएगा। ऐसे इक्विटी शेयरों को धारण करने वाले सार्वजनिक शेयरधारक अपने इक्विटी शेयरों का प्रमोटर को डीलिस्टिंग की तिथि से एक वर्ष की अवधि तक प्रस्ताव दे सकते हैं और ऐसे मामले में, प्रमोटर अंतिम निकास प्रस्ताव मूल्य पर दिये जाने वाले शेयरों को स्वीकार करेगा।
4. क्या डीलिस्टिंग का वोटिंग और लाभांश अधिकारों पर कोई प्रभाव पड़ता है?
डीलिस्टिंग ऑफर एक बार सफल हो जाने के बाद, इक्विटी शेयरों को स्टॉक एक्सचेंजों से हटा दिया जाएगा और कंपनी अनलिस्टिड सार्वजनिक कंपनी बन जाएगी। यदि किसी सार्वजनिक शेयरधारक ने डीलिस्टिंग ऑफर के दौरान अपने इक्विटी शेयरों को पेश नहीं किया है, तो वह कंपनी का शेयरधारक बना रहेगा और उसे एक गैर-सूचीबद्ध सार्वजनिक कंपनी के शेयरधारक वाले सभी अधिकार और लाभ मिलेंगें जैसे वोट देने का अधिकार और लाभांश (यदि कंपनी द्वारा घोषित) प्राप्त करने का अधिकार। कंपनी की डीलिस्टिंग होने के बाद, इक्विटी शेयर रखने वाले शेष सार्वजनिक शेयरधारक अपने इक्विटी शेयरों का प्रोमोटर को डीलिस्टिंग होने की तिथि से एक वर्ष की अवधि तक कभी भी प्रस्ताव दे सकते हैं और ऐसे मामले में, प्रमोटर अंतिम निकास प्रस्ताव मूल्य पर शेयरों को स्वीकार करेगा।
प्रक्रिया और समयसीमा की जानकारी
5. कंपनी ने पोस्टल बैलेट के माध्यम से शेयरधारक अनुमोदन प्रक्रिया शुरू की है - यह क्या है? क्या इस प्रक्रिया के माध्यम से अंतिम निकास प्रस्ताव मूल्य तय किया जाएगा?
डीलिस्टिंग विनियमों के अनुसार, एक कंपनी को (ए) अपने बोर्ड ऑफ डायरेक्टर्स का अनुमोदन प्राप्त करना आवश्यक है; और (बी)पोस्टल बैलेट के माध्यम से विशेष रिज़ॉल्यूशन का तरीका अपनाकर अपने शेयरधारकों का अनुमोदन प्राप्त करना होगा।
कंपनी के निदेशक मंडल ने 18 मई, 2020 को हुई अपनी मीटिंग में अन्य चीजों के अलावा, स्टॉक एक्सचेंजों से इक्विटी शेयरों को स्वेच्छा से हटाने के प्रमोटर के प्रस्ताव को मंजूरी दे दी और पोस्टल बैलेट के माध्यम से विशेष रिज़ॉल्यूशन का तरीका अपनाकर कंपनी के शेयरधारकों का अनुमोदन लेने के लिए अधिकृत किया। उसके बाद, कंपनी ने 25 मई, 2020 को अपने शेयरधारकों को पोस्टल बैलेट नोटिस भेजा है। रिमोट ई-वोटिंग मंगलवार, 26 मई, 2020 को सुबह 9:00 बजे (भारतीय समयानुसार) शुरू हुई थी और बुधवार, 24 जून, 2020 को शाम 5:00 बजे (भारतीय समयानुसार) समाप्त हो गई थी। एक बार किसी सदस्य को रिज़ॉल्यूशन पर एक बार वोट डालने के बाद बाद में इसे बदलने की अनुमति नहीं दी गई थी।
डीलिस्टिंग विनियमों के संदर्भ में, विशेष प्रस्ताव पर तभी कार्रवाई की जा सकती है जब सार्वजनिक शेयरधारकों द्वारा प्रस्ताव के पक्ष में डाले गए वोटों की संख्या सार्वजनिक शेयरधारकों द्वारा इसके खिलाफ डाले गए वोटों की संख्या से कम से कम दो गुना हो।
पोस्टल बैलेट प्रक्रिया केवल डीलिस्टिंग ऑफर के संबंध में शेयरधारकों की मंजूरी लेने के लिए लागू की गई है। इस प्रक्रिया के माध्यम से अंतिम निकास प्रस्ताव मूल्य तय नहीं किया जाएगा। जैसा कि ऊपर उल्लेख किया गया है, अंतिम निकास प्रस्ताव मूल्य का निर्धारण डीलिस्टिंग विनियमों के तहत निर्दिष्ट रिवर्स बुक बिल्डिंग प्रक्रिया के अनुसार किया जाएगा।
6. रिवर्स बुक बिल्डिंग प्रक्रिया कब शुरू होती है? मुझे इस प्रक्रिया में शेयरों का प्रस्ताव और कीमत का संकेत कैसे देना चाहिए?
शेयरधारकों के अनुमोदन और स्टॉक एक्सचेंजों से सैद्धांतिक अनुमोदन सहित सभी तरह के आवश्यक अनुमोदन प्राप्त करने के बाद, प्रमोटर एक पीए जारी करेगा और कंपनी के सार्वजनिक शेयरधारकों को एलओएफ और बोली फॉर्म भेजेगा। पीए और एलओएफ में रिवर्स बुक बिल्डिंग प्रक्रिया के लिए कार्यविधि और समयसीमा सहित अगले कदमों का विवरण होगा।
7. अगर मुझे एलओएफ और बोली फॉर्म नहीं मिलता है तो भी क्या मैं इसमें भाग ले सकता हूँ?
हाँ, कोई भी सार्वजनिक शेयरधारक डीलिस्टिंग ऑफर में भाग ले सकता है और बोली लगा सकता है, भले ही उसे एलओएफ और बिड फॉर्म प्राप्त न हुआ हो।
8. डीलिस्टिंग ऑफ़र को कब सफल माना जाता है? स्टॉक एक्सचेंजों से शेयरों को कब डीलिस्ट कर दिया जाता है?
डिलिस्टिंग ऑफ़र को सफल माना जाएगा यदि डिलिस्टिंग ऑफ़र के माध्यम से स्वीकार किए गए इक्विटी शेयर प्रमोटर की शेयरहोल्डिंग (साथ में काम करने वाले व्यक्तियों सहित) कंपनी की प्रदत्त इक्विटी शेयर पूंजी का कम से कम 90% तक हो जाती है, इनमें वे शेयर शामिल नहीं हैं, जो उस समय किसी कस्टोडियन के पास हो और जिनके खिलाफ एडीएस जारी किया गया हो, और यदि प्रमोटर अंतिम निकास प्रस्ताव मूल्य (जो रिवर्स बुकिंग बिल्डिंग प्रक्रिया के अनुसार निर्धारित किया जाता है) को डीलिस्टिंग विनियमों के अनुसार स्वीकार करता है।
डीलिस्टिंग ऑफर की सफलता और अपने इक्विटी शेयरों का प्रस्ताव देने वाले सार्वजनिक शेयरधारकों को भुगतान करने के बाद कंपनी स्टॉक एक्सचेंजों को अंतिम आवेदन भेजती है। स्टॉक एक्सचेंजों की मंजूरी मिलने पर, इक्विटी शेयरों को डीलिस्ट कर दिया जाएगा।
9. क्या प्रमोटर को एस्क्रो खाते में किसी तरह की धनराशि जमा करना जरूरी है?
डीलिस्टिंग विनियमों के अनुसार, पीए बनाने से पहले, प्रमोटर को एस्क्रो खाते में फ्लोर मूल्य और सार्वजनिक शेयरधारकों के पास बकाया इक्विटी शेयरों की संख्या के आधार पर गणना की गई कुल अनुमानित धनराशि जमा करनी होगी। यह नकद जमा या बैंक गारंटी या दोनों को मिलाकर किया जा सकता है। अंतिम निकास प्रस्ताव मूल्य के निर्धारण और प्रमोटर को उसकी स्वीकृति पर, सार्वजनिक शेयरधारकों के पास बकाया इक्विटी शेयरों के संबंध में देय और चुकाने योग्य संपूर्ण धनराशि का भुगतान करने के लिए एक अतिरिक्त धनराशि एस्क्रो खाते में जमा करनी होगी।
10. मुझे शेयरों की टेंडरिंग के लिए धन कब प्राप्त होगा?
डिलिस्टिंग ऑफर की सफलता पर, प्रमोटर को अन्य चीजों के साथ पोस्ट ऑफर पीए बनाना होगा, जो अंतिम निकास प्रस्ताव मूल्य की स्वीकृति और डीलिस्टिंग ऑफर की सफलता की सूचना देगा। सभी सार्वजनिक शेयरधारक जिनके इक्विटी शेयरों के वास्तविक होने की पुष्टि की गई है, उन्हें बोली अवधि की समाप्ति से दस कार्य दिवसों के भीतर अंतिम निकास प्रस्ताव मूल्य के अनुसार भुगतान किया जाएगा।
11.यदि डीलिस्टिंग ऑफर विफल हो जाता है तो क्या होगा?
प्रमोटर रिवर्स बुक बिल्डिंग प्रक्रिया के अनुसार निर्धारित किये गए अंतिम मूल्य पर इक्विटी शेयरों को स्वीकार करने के लिए बाध्य नहीं होगा। यदि अंतिम निकास प्रस्ताव मूल्य प्रमोटर के लिए स्वीकार्य नहीं है, तो वह या तो प्रस्ताव को अस्वीकार कर सकता है या वह सार्वजनिक शेयरधारकों को एक काउंटर ऑफ़र देने के विकल्प का इस्तेमाल कर सकता है, जो कि विमुद्रीकरण नियमों के अनुसार होगा। ऐसे मामले में, एक काउंटर ऑफर किया जाता है और यदि डीलिस्टिंग नियमों के अनुसार सफल होता है, तो अंतिम निकास प्रस्ताव मूल्य डेलीस्टिंग नियमों के अनुसार काउंटर ऑफ़र मूल्य बन जायेगा। ऐसे मामलों में जहाँ प्रमोटरफैसला करता है: (ए) निर्धारित किये गए अंतिम निकास प्रस्ताव मूल्य को स्वीकार नहीं करना; या (बी) काउंटर ऑफ़र सफल नहीं होता है, तो डीलिस्टिंग ऑफ़र विफल हो जाएगा।
डेलिस्टिंग ऑफर की विफलता के मामले में,
1. रिवर्स बुक बिल्डिंग प्रक्रिया के दौरान सार्वजनिक शेयरधारकों द्वारा प्रस्तावित इक्विटी शेयरों को बोली अवधि के अंत से दस कार्य दिवसों के भीतर वापस किया जायेगा या रीलीज कर दिया जाएगा;
2. इक्विटी शेयरों को हटाने के लिए स्टॉक एक्सचेंज को कोई अंतिम आवेदन नहीं भेजा जाएगा;
3. डीलिस्टिंग ऑफ़र के प्रयोजन हेतु प्रमोटर द्वारा खोला गया एस्क्रो खाता बंद कर दिया जाएगा; तथा
4. कंपनी स्टॉक एक्सचेंजों पर लिस्ट रहेगी।
12. अमेरिकन डिपॉजिटरी शेयर (एडीएस) धारकों के लिए प्रक्रिया क्या है?
डीलिस्टिंग नियमों के अनुसार, एडीएस के धारक डीलिस्टिंग ऑफर में भाग लेने के हकदार तब तक नहीं होंगे, जब तक कि वे अपने एडीएस को इक्विटी शेयरों में परिवर्तित नहीं करते हैं। यदि डीलिस्टिंग ऑफर सफल होता है और इक्विटी शेयरों को स्टॉक एक्सचेंजों से हटा दिया जाता है, फिर प्रमोटर एनवाईएसई और एसईसी की आवश्यकताओं के अधीन, न्यूयॉर्क स्टॉक एक्सचेंज ("एनवाईएसई ") से कंपनी द्वारा जारी किए गए एडीएस को डीलिस्ट करने की इच्छा व्यक्त कर सकता है और अमेरिकी प्रतिभूति और विनिमय आयोग ("एसईसी ") से कंपनी को डीरजिस्टर करने की प्रक्रिया शुरू कर सकता है।
13. क्या मुझे अनिवार्य रूप से डीलिस्टिंग ऑफर में भाग लेना पड़ेगा? यदि डीलिस्टिंग ऑफ़र सफल हो जाता है और मैं उसमें भाग नहीं लेता हूँ, तो क्या होगा ?

समय-समय पर संशोधित निवेशक शिक्षा और संरक्षण निधि प्राधिकरण (लेखांकन, लेखा परीक्षा, हस्तांतरण और धनवापसी) नियम, 2016 के नियम 6 के साथ पठित धारा 124(6) के अनुसार, यदि ऐसे मामलों में जिनमें लगातार सात (7) वर्षों के लिए लाभांश पर दावा नहीं किया जाता है/अदत्त है, तो वे शेयर निवेशक शिक्षा व संरक्षण कोष प्राधिकरण को हस्तांतरित कर दिये जाते हैं। आईईपीएफ से अदत्त /वेदावा लाभांश व शेयरों का दावा करने के लिए, दावेदार को फॉर्म आईईपीएफ 5 ऑनलाइन जमा करना होगा। निर्देश किट और फॉर्म आईईपीएफ 5 आईईएफपी की वेबसाइट पर उपलब्ध है और इसे www.iepf.gov.in पर देखा जा सकता है। www.iepf.gov.in
दावेदार के लिए ध्यान देने योग्य कुछ बातें
शेयरधारक/दावेदार को आईईपीएफ 5 फॉर्म जमा करने से पहले कंपनी और/या रजिस्ट्रार और ट्रांसफर एजेंट से अदत्त /वेदावा लाभांश व शेयरों का विवरण प्राप्त करना चाहिए क्योंकि ये विवरण फॉर्म के साथ जमा करना जरूरी है।
शेयरधारक/दावेदार को आईईपीएफ पोर्टल पर वेब आईईपीएफ 5 फॉर्म भरने के लिए खुद को पंजीकृत करना होगा।www.iepf.gov.in
सभी प्रक्रियाओं, कार्यविधि, दस्तावेज़ीकरण को आवश्यकता के अनुसार सभी पहलुओं में पूरा किया जाना है, इससे आईईपीएफ प्राधिकरण को अदत्त /वेदावा लाभांश व शेयरों को जारी करने में सुविधा मिलती है
एक नया डीमैट खाता खोलना अनिवार्य है (यदि नहीं खोला गया है तो) क्योंकि आईईपीएफ प्राधिकरण द्वारा शेयरों को केवल डीमैट मोड में हस्तांतरित किया जाता है।

Ajay Goel is Chief Financial Officer of Vedanta. He joined the company in March 2021 as Deputy CFO and assumed charge as Acting CFO in October 2021. Ajay brings rich multinational experience with global companies in FMCG and Industrial sectors; namely GE, Nestle, Coca Cola and Diageo. As CFO, Ajay is responsible for all aspects of finance, including corporate governance, treasury and funding, investors relations, Financial Planning & Analysis, Accounting and Consolidation, Tax, Secretarial, and Risk Management. He also drives business performance monitoring and reporting with a focus on benchmarking and analytics. Ajay is a national rank holder both as Chartered Accountant and Company Secretary and a commerce graduate from St. Xavier's College, Calcutta University.

Ajay Agarwal has 23+ years of rich experience in finance. He leads taxation, M&A and strategy and is currently the President-Finance at Vedanta Limited. He is the board member of new businesses i.e., Semiconductor and Display. He is the member of various Executive councils in Vedanta which are apex decision making bodies. Earlier he was associated with KPMG and PWC. He had represented the country in the US as part of KPMG. He joined Vedanta Group in Jan 2021. Also, he has been a speaker at multiple forums on finance and regulatory matters at the events organised by CNBC-TV18, CII, ASSOCHAM etc.
John Slaven
CEO, Aluminium
John Slaven was appointed CEO, Aluminium, effective October 3, 2023. John will spearhead key initiatives towards unlocking the full potential of Aluminium Business to deliver 3 MTPA of integrated volume and being amongst the Top 3 Aluminium Players in the world. John will lead overall strategy of the aluminium business, including development of strategic alliances to fast-track business delivery, as well as Marketing Strategies, ESG and Green Aluminium Strategy. He will give direction and approach with a focus on innovation and digitalization, product development and new technologies.
John is a reputed global leader who brings 34 years of rich experience in metal & mining sector. He has worked across the entire aluminium value chain in exploration, growth projects, operations, sales, and marketing. John joins us from Alcoa Corporation where he served as a member of Alcoa’s Top Executive team as Executive Vice President and Chief Operations Officer responsible for Alcoa’s global bauxite (45 MTPA), alumina (13 MTPA) and aluminium (2.6 MTPA) assets. He has also worked in key executive roles in the Australian mining and metals major BHP and led the Metals & Mining practice for The Boston Consulting Group (BCG) in North America. He holds a Bachelor of Science degree in Mechanical Engineering from the University of Cape Town and a Master’s degree in Business Administration from Harvard Business School.
Arun Misra

Mr. Arun Misra has been appointed as an Executive Director w.e.f August 01, 2023. Arun Misra is also the CEO of Vedanta’s Zinc Business and has also been leading Hindustan Zinc Limited (“HZL”), a subsidiary of the Company. Mr. Misra has also been overseeing the operations and growth of Vedanta Zinc International which have their mines and concentrator in South Africa. Mr. Misra was appointed as Deputy CEO, HZL on November 20, 2019 and was elevated to CEO & WTD, HZL with effect from August 01, 2020. Mr. Misra is the 1st ever Indian Chairperson of the International Zinc Association. He is also the Vice President of the Indian Institute of Mineral Engineers. He is also present Vice Chairman of CII, Rajasthan. Mr. Misra was awarded ‘CEO of the Year’ in the Business Leader of the Year awards. After graduating with a bachelor’s degree in electrical engineering from IIT, Kharagpur, Mr. Misra took a Diploma in Mining and Beneficiation from the University of New South Wales Sydney, and another Diploma in General Management from CEDEP, France. He possesses knowledge of TQM, Six Sigma, TPM, and the Malcolm Baldridge Model. Mr. Misra started his career with Tata Steel as Maintenance Head (Electrical), West Bokaro Coal Washery in July 1988. He brings with him a formidable 35 years of rich and diverse experience in Tata Steel, where he headed various strategic positions. In his last assignment at Tata Steel, Mr. Misra worked as Vice President — Raw Materials Division. During his tenure at Tata Steel, Mr. Misra led crucial portfolios like Plant Operations, Mining Operations, and Safety & Project Management.
Chris Griffith
CEO, Vedanta Base Metals
Chris Griffith was appointed to head the proposed Base Metals vertical including the Zinc International business and President of International Businesses effective October 2023. He will be leading the Group's international zinc business in South Africa and Namibia, its iron ore business in Liberia, and the entire copper portfolio including KCM, Zambia, Fujairah, UAE and Sterlite Copper in India.
Griffith was the former CEO of Gold Fields, one of the largest gold players globally. Before Gold Fields, Chris served as the CEO of two major businesses at global mining major, Anglo American - Anglo American Platinum and Kumba Iron Ore.
Steve Moore
Deputy CEO Cairn Oil & Gas
Steve Moore was appointed as Deputy CEO, Cairn Oil & Gas in July 2023. He is steering Cairn's growth strategy towards producing 50% of India's domestic Oil & Gas and adding Reserves and Resources to achieve Energy Aatmanirbharta, whilst maintaining the highest level of Safety, Sustainability and Governance standards. He has over 35 years of rich global experience in technical and leadership roles across UK, Middle East, and Southeast & Central Asia in global majors like Shell, Maersk Oil, Energean and Mubadala Oil. Steve holds a PhD in Chemical Engineering from Newcastle University.

He is a top-level professional with over 20 years’ experience in Infrastructure Sector with core competence in Strategy, Regulatory Affairs, Policy Advocacy, Financing, M&A, Legal, Commercial, Operations, Project Management & Execution, Corporate Affairs and Talent Management. With strong cross- functional leadership skills, and ability to drive decision making, Vibhav has risen through the ranks and acquired top leadership positions in a short span of time in the biggest corporates in India. Prior to his current role, Vibhav was Managing Director of Rattan India Power Limited, and has spent 17 years in Reliance Power. He is a B.Tech. from NIT Warangal, MBA from IIT Mumbai and holds a certificate from ISB Hyderabad in Leadership & General Management.
Madhu Srivastava
Chief Human Resources Officer
Madhu Srivastava was appointed as the Chief Human Resources Officer for Vedanta Group in December 2018. She has been associated with the Group since 12 years and in her earlier role, she was the CHRO for Cairn Oil & Gas business and was additionally leading the Talent Acquisition and Diversity & Inclusion functions for the group. Under her leadership, the Group has put in place the right HR policies, progressive people practices and frameworks for talent acquisition and talent management across Vedanta. Madhu has an overall experience of 20 years across HR as well as Sales, Marketing and Operations, spanning the FMCG, telecom, ITES, BFSI and natural resources industries. Madhu had started her professional journey in 1999 with Godrej where she handled Sales in Gujarat and Maharashtra and later moved to the Corporate Sales & Marketing role. Post working with companies like GE Capital and Reliance in Operations & Marketing profiles, she started her Human Resources journey in 2006 by joining Genpact as Assistant Vice President, Talent Acquisition where she led the middle management hiring. She then went on to lead the recruitments for Citibank's India operations as Vice President, HR before Joining Vedanta in 2012. Madhu has completed her PGDM in marketing and sales, from IIM, Ahmedabad.
