Anil Agarwal was appointed to the Board in May 2003 and is the Executive Chairman of Vedanta Resources since March 2005 and chairs the Nominations Committee. He became the Non-Executive Chairman of Vedanta Limited in April 2020. Anil Agarwal founded the Group in 1976 and has over four decades of entrepreneurial and mining experience. He has led the Group and has helped shape its strategic vision. Under his leadership, Vedanta has grown from an Indian domestic miner into a global natural resources group with entities listed in a number of markets and a world class portfolio of large, diversified, structurally low-cost assets that are capable of generating strong cash flows. Anil Agarwal is also a director of Sterlite Technologies Limited, Conclave PTC Limited and the Anil Agarwal Foundation.

Navin Agarwal has been associated with the Group since its inception and has over 35 years of strategic executive experience. He has been instrumental in leading the growth of the Group through organic projects and acquisitions. He plays a pivotal role in providing direction for development of the top leadership talent at the Group. He is credited with creating a culture of business excellence and delivering superior benchmark performance through application of advanced technology and global best practices. He was conferred the “Industrialist of the Year 2018” award by the Bombay Management Association for his outstanding contribution to the natural resource sector. He has led Vedanta to achieving the highest standards of corporate governance and enhanced engagement with key stakeholders. He pursues a vision to enrich the enormous potential of the natural resources sector as an engine of growth for the country.

Mr. Arun Misra has been appointed as an Executive Director w.e.f August 01, 2023. Arun Misra is also the CEO of Vedanta’s Zinc Business and has also been leading Hindustan Zinc Limited (“HZL”), a subsidiary of the Company. Mr. Misra has also been overseeing the operations and growth of Vedanta Zinc International which have their mines and concentrator in South Africa. Mr. Misra was appointed as Deputy CEO, HZL on November 20, 2019 and was elevated to CEO & WTD, HZL with effect from August 01, 2020. Mr. Misra is the 1st ever Indian Chairperson of the International Zinc Association. He is also the Vice President of the Indian Institute of Mineral Engineers. He is also present Vice Chairman of CII, Rajasthan. Mr. Misra was awarded ‘CEO of the Year’ in the Business Leader of the Year awards. After graduating with a bachelor’s degree in electrical engineering from IIT, Kharagpur, Mr. Misra took a Diploma in Mining and Beneficiation from the University of New South Wales Sydney, and another Diploma in General Management from CEDEP, France. He possesses knowledge of TQM, Six Sigma, TPM, and the Malcolm Baldridge Model. Mr. Misra started his career with Tata Steel as Maintenance Head (Electrical), West Bokaro Coal Washery in July 1988. He brings with him a formidable 35 years of rich and diverse experience in Tata Steel, where he headed various strategic positions. In his last assignment at Tata Steel, Mr. Misra worked as Vice President — Raw Materials Division. During his tenure at Tata Steel, Mr. Misra led crucial portfolios like Plant Operations, Mining Operations, and Safety & Project Management.

Priya Agarwal-Hebbar is the Non-Executive Director at Vedanta, world's leading natural resources company. She has been a key pillar in strengthening ESG and bringing about a more forward-looking cultural shift in the organization. Priya is passionate about animals, child nutrition and gender neutrality which has driven her to lead a variety of CSR initiatives that has collectively impacted around 4.23 Cr people in India. Under her leadership, Vedanta has modernized over 3300 anganwadis across the country through its flagship project Nand Ghar which aims to ensure that women and children get the right opportunities even in the remotest parts of the country. She is also leading India’s first state-of-the-art animal welfare project - TACO which will bring leading academicians, medical professionals and community together to create a more holistic approach to animal care in India. Priya has experience in Public Relations with Ogilvy & Mather and in Rediffusion Y&R. She is also the founder of YODA - animal welfare organization.

Mr. S.V. Murali Dhar Rao has more than 3 decades of extensive experience in regulating and developing securities market. He joined the Securities & Exchange Board of India (‘SEBI’) in June 1992 and was elevated to Executive Director in July 2012. He superannuated from SEBI in January 2025. During his tenure in SEBI, he served in various capacities across various departments such as Corporation Finance Department (CFD), Market Regulation Department (MRD), Market Intermediaries Regulation & Supervision Department (MIRSD), Investment Management Department (MFs, AIFs, PMS), Foreign Portfolio Investment, Investment Advisors, Proxy Advisors, etc.

Currently, Mr. Rao sits on the Board of Invesco Trustee Private Limited as an Independent Director and Independent member on the board of Kerala Infrastructure Investment Fund Board of Kerala Government. He is also a senior consultant with Khaitan & Co.

Mr. Rao also served as a part time member of National Financial Reporting Authority (NFRA) and on the Board of Governors of Indian Institute of Corporate Affairs (IICA). He also has an experience of serving in various committees of International Organization of Securities Commission (IOSCO).

The area of extensive experience of Mr. Rao includes a pivotal role played by him in promoting growth and development in Mutual Fund industry by introducing measures relating to rationalizing Total Expense Ratio (TER), categorization and rationalization of mutual fund schemes, product labelling, swing pricing mechanism, backstop facility for corporate debt markets etc. He was also instrumental in facilitating measures for ease of doing business for listed and to be listed entities, Reduction of timeline for listing of shares in public issue from T+6 to T+3, Enhanced disclosures and transparency for listed entities including ESG disclosures and assurance.

He is academically qualified with a Master of Commerce (M.Com) and a Master of Business Administration (MBA) and will play a pivotal and strategic role in helping the Company unlock overall value.

Mr. Mukherjee (DIN: 00015999) aged 68 years held the position of Executive Director of Sesa Goa from 2006 to 2014. He has nearly four decades of experience in finance, accounts, costing, taxation, legal and general management. Mr. Mukherjee was ranked as one of India’s Best Chief Financial Officers (CFOs) in the year 2005 by Business Today magazine and as India’s most ‘Valuable’ CEO by the Business World magazine in 2009. He is presently also a member of the Strategy Board of Global Risk Management Institute (GRMI), Gurugram, Haryana, India. He is an ex-officio permanent member of Managing Committee of Federation of Indian Mineral Industries (FIMI).

Mr. Mukherjee has a bachelor’s degree in commerce from Calcutta University. He is an Associate Member of the Institute of Cost Accountants of India, and a fellow of the Institute of Chartered Accountants of India.

Mr. Mukherjee having a good blend of financial and technical experience will be able to contribute effectively on financial, technical and mining aspects of the business and will also play a pivotal role in helping the Company unlock overall value.

Mr. R. Gopalan, is a retired IAS Officer and has served as a Member, Public Enterprises Selection Board (PESB) under the control of the PM till April 2016. He was also a secretary of Department of Economic Affairs, Ministry of Finance, Govt. of India till August 2012. Mr. Gopalan comes with a vide experience of handling matters relating to Capital Markets, Infrastructure Finance, manufacturing & marketing of textiles, chemicals and petrochemicals and other related matters pertaining to the economy. He has vast experience in Corporate Laws, Business Administration, Corporate Finance and Regulatory matters. He had also represented India in the trade negotiations at World Trade Organization. He has also served as Alternate Governor in World Bank, Asian Development Bank and led India in Finance segment of G-20 negotiations, bilateral negotiations with Switzerland, Canada and Brazil. He had also negotiated on behalf of India in Financial Action Task Force (FATF) negotiations.

He brought about a number of changes in the functioning of the Capital Markets and initiated new policy measures in infrastructure development including setting up of CERSAI and selling of the first Software Technology Park (TIDEL) in Chennai, a joint gold and silver refinery sector in Haryana with FDI.

He had served as CMD of Taminadu Newsprints and Papers Ltd, MD of Tamilnadu Agro Industries Corporation Ltd, Joint MD of Tamilnadu Dairy development Federation Ltd and is currently on the Board of various listed entities including Sundaram-Clayton Ltd, TVS Holdings Limited and Zee Entertainment Enterprises Limited.

Mr. Gopalan has completed his Master of Public Administration and Management from Harvard University, John F Kennedy School of Govt, Massachusetts, USA, MA in Economics from Boston University, Massachusetts, USA and bachelor’s degree in chemistry from Madras University.

Dr. Meena Hemchandra is a career central banker with four decades of experience in various departments of Reserve Bank of India and the financial sector. She was Executive Director of Reserve Bank of India incharge of supervision of Banks, Non-Banking Finance Companies and Cooperative Banks from June 2015 till her superannuation in November 2017. Her earlier experience includes treasury management, having headed the Department of External Investment and Operations (a department that manages the country’s forex reserves) between 2005 and 2011. She also has expertise in Strategic Planning, and in foreign exchange regulations having worked in the Foreign Exchange Department at various points in her career. She has in-depth understanding of corporate governance and corporate balance sheets having worked in departments relating to large corporate finance, supervision over banks and from her long board tenures.

She has strong skills in IT governance having established the 'Standing Committee on Cyber Security in Banks' in RBI and being its first Chairperson. She oversaw the framing of RBI guidelines on cyber security in June 2016.

She had also been the Principal of the Reserve Bank's College of Agricultural Banking involved in training in Agriculture and Rural Credit, Co-operative Banking, Financial Inclusion, Financial Literacy, etc.

Her Board experience of over fifteen years includes Reserve Bank of India nominee directorship on the Boards of Union Bank of India, Canara Bank and ECGC. Post-retirement she completed her full term an Independent Director on the Board of Clearing Corporation of India Limited and was with Suryoday Small Finance Bank Limited for over three years. She advises on banking sector regulation, financial matters and cyber-security/IT governance in banks.

She holds degrees in Economics including a Ph.D. from the Gokhale Institute of Politics and Economics, Pune, with her thesis on “An Early Warning Framework for Financial Stress.” She has pursued executive education in Advanced Risk Management at Wharton, is a CFA (India) and CAIIB, and has also completed a Diploma in C++ Programming along with a postgraduate programme in Data Science and Business Analytics from the University of Texas-Austin and Great Lakes Institute, Delhi.

Currently, she is a Non-Executive Independent Chairperson at Karur Vysya Bank, an Independent Director on the Board of Triveni Engineering & Industries Limited, also having directorship in Unified Fintech Forum - Section 8 Company and an Independent Director in Home Credit India Finance Private Limited. She is a Senior Advisor with DMI finance Limited.
